The deal was approved by both Intel and McAfee directors and is going to be official after the McAfee shareholder approval. Renée James Intel senior vice president, and general manager of the group said “this acquisition is consistent with our software and services strategy to deliver an outstanding computing experience in fast-growing business areas, especially around the move to wireless mobility.” Dave DeWalt, president and CEO of McAfee said “we believe this acquisition will result in our ability to deliver a safer, more secure and trusted Internet-enabled device experience.”

Intel to Acquire McAfee
NEWS HIGHLIGHTS:

* Purchase of all of McAfee’s common stock for $48 per share in cash, valuing the deal at approximately $7.68 billion. McAfee will operate as a wholly-owned subsidiary, reporting into Intel’s Software and Services Group.
* Acquisition enables a combination of security software and hardware from one company to ultimately better protect consumers, corporations and governments as billions of devices – and the server and cloud networks that manage them – go online.
* Intel elevates focus on security on par with energy-efficient performance and connectivity. The acquisition augments Intel’s mobile wireless strategy, helping to better assure customer and consumer security concerns as these billions of devices connect.
* Intel has made a number of software-related acquisitions of leaders in their respective industries that also rely on great silicon, including Wind River, Havok and now McAfee.

SANTA CLARA, Calif.–(BUSINESS WIRE)–Intel Corporation has entered into a definitive agreement to acquire McAfee, Inc., through the purchase of all of the company’s common stock at $48 per share in cash, for approximately $7.68 billion. Both boards of directors have unanimously approved the deal, which is expected to close after McAfee shareholder approval, regulatory clearances and other customary conditions specified in the agreement.

The acquisition reflects that security is now a fundamental component of online computing. Today’s security approach does not fully address the billions of new Internet-ready devices connecting, including mobile and wireless devices, TVs, cars, medical devices and ATM machines as well as the accompanying surge in cyber threats. Providing protection to a diverse online world requires a fundamentally new approach involving software, hardware and services.

Inside Intel, the company has elevated the priority of security to be on par with its strategic focus areas in energy-efficient performance and Internet connectivity.

McAfee, which has enjoyed double-digit, year-over-year growth and nearly 80 percent gross margins last year, will become a wholly-owned subsidiary of Intel, reporting into Intel’s Software and Services Group. The group is managed by Renée James, Intel senior vice president, and general manager of the group.

“With the rapid expansion of growth across a vast array of Internet-connected devices, more and more of the elements of our lives have moved online,” said Paul Otellini, Intel president and CEO. “In the past, energy-efficient performance and connectivity have defined computing requirements. Looking forward, security will join those as a third pillar of what people demand from all computing experiences.

“The addition of McAfee products and technologies into the Intel computing portfolio brings us incredibly talented people with a track record of delivering security innovations, products and services that the industry and consumers trust to make connecting to the Internet safer and more secure,” Otellini added.

“Hardware-enhanced security will lead to breakthroughs in effectively countering the increasingly sophisticated threats of today and tomorrow,” said James. “This acquisition is consistent with our software and services strategy to deliver an outstanding computing experience in fast-growing business areas, especially around the move to wireless mobility.”

“McAfee is the next step in this strategy, and the right security partner for us,” she added. “Our current work together has impressive prospects, and we look forward to introducing a product from our strategic partnership next year.”

“The cyber threat landscape has changed dramatically over the past few years, with millions of new threats appearing every month,” said Dave DeWalt, president and CEO of McAfee. “We believe this acquisition will result in our ability to deliver a safer, more secure and trusted Internet-enabled device experience.”

McAfee, based in Santa Clara and founded in 1987, is the world’s largest dedicated security technology company with approximately $2 billion in revenue in 2009. With approximately 6,100 employees, McAfee’s products and technologies deliver secure solutions and services to consumers, enterprises and governments around the world and include a strong sales force that works with a variety of customers.

The company has a suite of software-related security solutions, including end-point and networking products and services that are focused on helping to ensure Internet-connected devices and networks are protected from malicious content, phony requests and unsecured transactions and communications. Among others, products include McAfee Total Protection™, McAfee Antivirus, McAfee Internet Security, McAfee Firewall, McAfee IPS as well as an expanding line of products targeting mobile devices such as smartphones.

Intel has made a series of recent and successful software acquisitions to pursue a deliberate strategy focused on leading companies in their industry delivering software that takes advantage of silicon. These include gaming, visual computing, embedded device and machine software and now security.

Home to two of the most innovative labs and research in the high-tech industry, Intel and McAfee will also jointly explore future product concepts to further strengthen security in the cloud network and myriad of computers and devices people use in their everyday lives.

On a GAAP basis, Intel expects the combination to be slightly dilutive to earnings in the first year of operations and approximately flat in the second year. On a non-GAAP basis, excluding a one-time write down of deferred revenue when the transaction closes and amortization of acquired intangibles, Intel expects the combination to be slightly accretive in the first year and improve beyond that.

Intel was advised by Goldman Sachs & Co. and Morrison & Foerster LLP. McAfee was advised by Morgan Stanley & Co. Inc. and Wilson Sonsini Goodrich & Rosati, P.C.

The next step in Mobile Internet Technology is here and making its presence well known. The MiFi is a compact wireless router, small enough to fit inside your pocket or into a bag pocket; it allows you to create your own Wi-Fi hotspot. This advance in Technology allows you to connect to up to 5 at any one time, such devices include the iPad, iPod, Printer, PSP, Laptop and many other wireless devices with no need for USB’s or wires.

The MiFi was first created by Novatel and introduced in the US in 2009. Currently in the United Kingdom the ‘MiFi’ is trademarked and the Internet service is provided solely by the 3 network. Across the globe, carriers such as Vodafone have launched their own MiFi service in countries such as Germany and Spain.

With some providers such as 3, you can opt to buy this device on a monthly contract (18 or 24 months), the more the pay each month, the higher the usage limit or pay a one off fee (Approximately £69.99) for the device and top it up when necessary. The MiFi device has speeds of up to 7.2 Mb, compared to an 8Mb Home Broadband speeds provided from 02 and Plusnet Home Broadband this is a great benefit, especially on the go.

MiFi is a step ahead of the traditional Wi-Fi as to get connected to the Internet all you need to do switch the device on and simply press one button and you’re ready to go, there’s no need to manually connect to this device directly from your laptop, for example.

However it’s not all a bed of roses with this gadget, the MiFi sadly only has a maximum 5 hour battery life, this includes when fully charged. Many have complained that they are suddenly disconnected from the device, which can be very frustrating.

But if you are not ready to take that giant leap to MiFi why not try a Wi-Fi service such as Mobile Broadband. You have more flexibility with Mobile Broadband as there is no need to charge the device, so it’s ready when you are.

Mobile Broadband is very similar to MiFi in many respects, they both allow you to access the Internet on the go without the use of a landline, both are relatively simple to use (MiFi – One button, Mobile Broadband – Need to connect via Laptop and follow a few steps to successfully connect to the web). But one important disadvantage is that with Mobile Broadband you are unable to connect to more than one wireless device.

So if you decide to take out Mobile Broadband you have two options, either Mobile Broadband Pay As You Go or Contracted Mobile Broadband.

In conclusion when opting for either MiFi or Wi-Fi i.e. Mobile Broadband Dongle, its best to do some research into which one would best suit your needs. It’s also best to ask yourself the following questions:

Do I need Internet for more than one wireless device?

Do I need the Internet for more than 5 hours?

Do I mind having a dongle sticking out of my laptop?

Do I want to be bound in an 18 or 24 month contract?

Am I going to need Internet on the go?

Nokia had just announced yesterday a new mobile device, X3-02 Touch and Type, that combines a touchscreen with a 16-button keypad. The touchscreen display has 2.4-inches and supports a 240 x 320 pixel resolution and up to 262k colors. Camera has 5 megapixel, full focus, 4x digital zoom, noise reduction, but lacks a LED flash. Series 40 software platform is supported and they claim will hold up thousands of apps and games from Ovi Store.

The Finnish company really makes a difference when they have to design a cheap phone with quality specs and X3-02 is definitely the one to choose: 3G, GPRS, EDGE, Wi-Fi b/g/n, Bluetooth 2.1, microUSB, 3.5 mm audio jack. Unfortunately it lacks GPS, but this is not a big issue for a phone user.

Nokia X3 Touch and Type wants to be a middle-range phone with quality features, low price, but still manage to follow the touchscreen and keyboard trend. It will be available in the Q3 of this year and have a €125 retail price, excluding taxes and subsidies.

Press Release and Video after the break.

Nokia debuts ‘Touch and Type’ design with the latest Nokia X3

In a move to continue driving innovation, Nokia today unveils the super slim Nokia X3 Touch and Type, with a unique combination of a touch screen and traditional 12 button phone keypad. As Nokia’s first ‘Touch and Type’ phone, the Nokia X3 allows people to tap quickly on the bright color touch screen, as well as enjoy the familiarity of the full keypad for quick fire text messages and phone calls. Anticipated to be on sale in the third quarter, the Nokia X3 is expected to retail for approximately EUR 125, excluding taxes and subsidies.

“We continue to push innovation at all price points. The Nokia X3 brings new consumer value with a device that combines a touch screen and a keypad at an affordable price, offering consumers the best of both Worlds.” said Mark Loughran, Managing Director, Nokia UK.

The Nokia X3 has a large screen with clear icons, menus and text, as well as critical keys such as the send and end keys, and dedicated function keys for important links like music and text messaging. Touch and type is ideal for SMS and social networking where fast and frequent input is needed, while touch is ideal for functions such as setting alarms, smooth browsing and controlling applications like music and games.

With its sleek and modern design coming in at a very thin 9.6mm – making it one of the slimmest Nokia phones ever – the Nokia X3 slips easily into the purse or the pocket, and looks the part with its brushed aluminum back cover which will come in five vibrant colors designed to suit any mood or wardrobe.

Despite its size, the Nokia X3 is jam-packed with features including 3G, WLAN, a music player and an FM radio.

Lovers of the snapshot and social networkers will enjoy a great 5 megapixel camera with 4X digital zoom that can take both still and video images.

The Nokia X3 also features dedicated music and messaging keys allowing fast access to important Ovi services including social and entertainment applications. In addition to Ovi Mail, people’s favorite consumer email and chat accounts can be pushed direct to the phone via Nokia Messaging.

With a gentle glide over the touch screen people can go online and get access to many services including thousands of apps from Ovi Store. In certain markets, the new phone will also be available with Ovi Music Unlimited, enabling the owner to access a virtually limitless range of the latest hit music that can be stored on the available 16GB memory card.

The Nokia X3 – affordable and accessible touch and type which is simple-to-use and beautifully designed. The Nokia X3 Touch and Type sits alongside the Nokia X3-00, a slider with strong music functionality, which was launched in September 2009.

The Nokia Mini Speaker MD-11. Pocket-sized speakers for big sound

Music lovers can boost the Nokia X3′s inbuilt speaker with some extra ‘oomph’ with the new MD-11, a light pocket-size speaker with great audio quality. For even more fun, you can connect two for stereo sound – a great way to get the music out of your phone and enjoy with friends. The MD-11 is estimated to retail for EUR 25 excluding taxes and subsidies.

It’s great to see Motorola back on the market, but no one expected they will be so aggressive.

Today’s new wonder is called Droid 2 and is an Android 2.2 ready mobile device with a 5 megapixel camera and 1 Ghz processor.

From the first encounter with this phone, you will discover a 3.7-inches TFT screen with 854 x 480 pixel resolution and 16M colors. Sensors(accelerometer and proximity), multi-touch and swype methods are supported.

On the right side of the phone are the volume rockers and the camera shutter key, while on the left is the microUSB port. Above, on the top side of the phone is the Lock/Close button while at the bottom is the microphone.

Like the first Droid, this one has a four row QWERTY keyboard and to unlock it, you have to slide the phone to the right. Different from the original Droid, Droid 2 have replaced the 5 way navigation key with four directional keys.

The 5 megapixel camera is located on the back of the phone and features digital zoom, autofocus and dual LED flash. Videos can be recorded at full 480p (720 x 480 resolution), a lower resolution than previous Droids. Other camera features include: Image stabilization, real-time color effects, scene modes, location tagging, face detection.

Talking about the internals the 1Ghz processor should be the king, but don’t have to forget that Motorola Droid 2 is one of the first mobile device that will come with Android 2.2(Froyo) installed.

Customers can also download favorite apps from Android Market™, which has more than 70,000 applications, and store them on 8 GB of preloaded on-board memory and the 8 GB microSD™ card, which can be upgraded to a 32 GB SD card for a total cargo capacity of 40 GB. Popular apps available on DROID 2 include NFL Mobile (downloadable), Skype mobile(™) and BLOCKBUSTER On Demand® presented by V CAST Video. Customers can even manage their wireless accounts or their contacts from their phones with My Verizon and with Backup Assistant(SM).

“It’s great to see amazing new smartphones like the DROID 2 come pre-installed with Flash Player 10.1,” said David Wadhwani, senior vice president and general manager, Creative and Interactive Solution Business Unit at Adobe. “With the completely redesigned and hardware accelerated Flash Player 10.1, DROID 2 users will be able to experience the full Web on the go.”

Adobe Flash Player 10.1 lets mobile users experience millions of websites the way they were meant to be seen – with rich Internet applications (RIAs), content inside the browser, including games, animations, data presentations and visualizations, e-commerce, music, video, audio and more.

Connectivity is flawless as usual for a Motorola smartphone and packs: GPRS, 3G, Wi-Fi 802.11 b/g/n, Bluetooth 2.1, DNLA, GPS and 3.5 mm port jack. Droid 2 supports through it’s 3G mobile hotspot feature up to five compatible Wi-Fi devices connected same time.

Hurry or not, Motorola almost buried the first Droid and is not even a year since it’s announcement.

Motorola Droid 2 was announced this August and is already available in Verizon Wireless stores on a $199.99 fee with two year contract.

Sometimes you look for something simple and straightforward in a mobile phone, and some of the most basic and easy to use phones are made by Nokia. A lot of their classic models are not only solidly built but also extremely durable, so they will take quite a beating. The Nokia 6700 Slide is a phone you’d think would be one of these simple phones, an updated version of the 6500 Slide and at the same time a slide version of the 6700 Classic. Yet this phone has a few surprises in store.

The Series 40 operating system of the previous models has been replaced with Symbian version 9.3, an interesting move on Nokia’s part as this system is known for being very unreliable and freezing often. An ARM 11 600 MHz processor completes the view, but we think this was not necessary as the phone lacks both GPS and Wi-Fi features. On the other hand, its HSPA provides lightning fast Internet connectivity, with a download capacity of up to 10Mbps and uploads of up to 2Mbps. The impressive 3G connection is supplemented by Bluetooth 2.0 and USB connectivity as well.

Physically, the phone isn’t ideal for Internet browsing in spite of its fast connection. The phone is just 2.2 inches, nothing like the impressive sizes on offer in the current generation of smart phones and touch screens. The resolution is just 240 by 320 pixels, although it does support an impressive 16 million colours.

One of the phone’s redeeming features is its camera, which at 5 megapixels with Carl Zeiss optics is one of the best available in the 6700 Slide’s price range. It also has built in auto focus and dual flash. There is also a video camera capable of recording in VGA resolution, 640 by 480 pixels, at remarkably high quality. The phone comes with an inbuilt video editor and a secondary video camera for making video calls.

The phone’s music player is Nokia’s popular Nseries, which can effectively handle all of the popular digital media formats. It has an FM radio with RDS, but disappointingly the headphone connection is a Nokia 2.5mm jack so you can’t connect standard 3.5mm headphones. The phone comes with a standard 2GB memory card, enough to hold about 500 mp3 files, and you can choose to upgrade this to anything up to 16GB.

The inbuilt memory of the phone, however, is restricted, with just 60MB onboard. The 6700 Slide’s small battery is restricted and provides poor battery life. It’s as if this phone is trying to be two things at once, the simple slide phone and a smart phone with lightning fast connectivity. Sadly it lacks the best features of both.

If you’re interested in the redeeming features of the Nokia 6700 Slide, Dialaphone currently have a generous offer on an 18 month contract for just £20 a month – only you get the first 12 absolutely free! That results in effectively £6.67 a month for 18 months, with 100 minutes and unlimited texts every month.

Or why not check out the Nokia N8 review? It’s stylish, got a 12 mega-pixel camera and has Symbian 3 so visit the Dialaphone blog and read the review for yourself.

The Sony Ericsson Vivaz knows what it is, and doesn’t try to be anything more. A touch screen smartphone running the Symbian(Series 60) operating system, it’s already in dangerous waters. Both Sony Ericsson and Symbian are thought of as unreliable, as a mobile phone manufacturer and an operating system, so the combination makes the idea of the Vivaz doubly ominous. However, the phone itself isn’t too much of a disappointment and partially redeems itself in its most amazing feature.

It is the camera features on the Vivaz that save it from being just an average unreliable model. It records in HD video, super sharp at 720p resolution. The video recordings include continuous auto focus with an additional light and image stabiliser. This is extremely impressive capacity for a mobile phone, and you can then upload your videos straight to YouTube to show them off. The Vivaz also boasts video calling, certain to become quite in demand over the next couple of years. The still camera on the phone is equally impressive boasting a massive 8.1 megapixel resolution. It also includes face and smile detection, auto-focus, an LED flash and geo-tagging due to the phone’s built in GPS.

The 3.2 inch screen of the phone itself is impressive enough at a resolution of 360 by 640 pixels, but is not quite enough to view your videos at full HD resolution. You’ll have to upload them to a computer for that, or if you have a HD TV you can use the TV-Out to view them on a big screen. Although the system is fully touch screen operated with no physical buttons, an interesting and quirky feature is the handwriting recognition, although this doesn’t really serve any real purpose.

Music wise, the music player on the phone is adequate and has a 3.5mm audio jack so you can use third party headphones. For storage, microSD memory cards of up to 16GB are supported and there is also an FM radio. The built in GPS works with Google Maps and also comes with a little bonus in the demonstration licence of Wisepilot turn-by-turn navigation software, quite an original addition.
Fast Internet access is ensured by the HSPA and for even faster connectivity you can access the phone’s Wi-Fi 802.11 b/g in enabled areas. The phone also has GPRS, EDGE, Bluetooth 2.1 and USB connectivity, with built in apps for accessing popular sites like Facebook and YouTube. This is a reliable phone with a good battery life as long as you remember to turn off features like the GPS, Bluetooth and Wi-Fi when they aren’t in use.

If you’re not really interested in the stand out camera features, this phone may not really be worth your while. However, the camera features are quite impressive so if that’s your thing then you can pick up a Sony Ericsson Vivaz in a gorgeous red sheen for free at P4u for as little as £25 a month with 600 minutes and 3000 texts. Without a contract Sony Ericsson Vivaz might cost around £290.
